These Terms of Service ("Terms") govern your access to and use of Rep360 ("Rep360", "Service", "we", "our", or "us"), a product operated by Servgrow LLC, a United States limited liability company ("Servgrow"). By creating an account, accessing, or using the Service, you ("you" or "Customer") agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Rep360 is a software-as-a-service platform that helps businesses request, capture, display, and respond to customer reviews. Features include SMS and email review requests, hosted public review pages, embeddable review widgets, and integrations with third-party platforms (such as Google Business Profile and Facebook) at the Customer's direction.
To use the Service you must create an account, provide accurate information, and keep your credentials secure. You are responsible for all activity under your account. Notify us promptly at randy@sodermanmarketing.com if you believe your account has been compromised.
You must be at least 18 years old and have authority to bind the business on whose behalf you are signing up.

We may suspend or terminate your account at our discretion if we believe you have violated these Terms or pose a risk to the Service, other Customers, or carrier relationships.
The following disclosures apply to the SMS messaging features of Rep360 and are provided in compliance with U.S. wireless carrier requirements (including A2P 10DLC) and applicable law.
Program description.
Rep360 sends transactional review-request and review-related SMS messages on behalf of its Customers (businesses) to End Users (the Customer's own customers) who have previously transacted with the Customer and who have consented to receive such messages. Messages are not marketing or promotional. Typical message content includes a short greeting, a one-line ask for a review, and a link to a review-collection page.
Message frequency.
Message frequency varies. A typical review-request flow sends between one and four messages per customer transaction, spaced across days, depending on the Customer's configuration.

Message and data rates may apply. Mobile carriers are not liable for delayed or undelivered messages.

Carrier support.
Carriers supported include AT&T, Verizon Wireless, T-Mobile, Sprint, Boost Mobile, U.S. Cellular, MetroPCS, Cricket Wireless, Virgin Mobile, and others. Available on all major carriers in the United States. T-Mobile is not liable for delayed or undelivered messages.

Consent and Customer responsibility.
Customers using Rep360 to send SMS represent and warrant that each End User has provided prior express written consent (as defined by the TCPA and equivalent foreign law) to receive review- request messages from the Customer. Customers are solely responsible for collecting, maintaining records of, and honoring consent and opt-out elections. Rep360 reinforces opt-out enforcement at the platform level (STOP requests are honored regardless of the Customer's configuration), but does not relieve the Customer of its independent legal obligations.
No sharing of opt-in data for marketing.
As stated in our Privacy Policy, we do not sell, rent, share, or otherwise transfer mobile phone numbers, SMS opt-in records, or consent data to any third party or affiliate for marketing or promotional purposes.
You retain ownership of the customer data and review content you collect through Rep360. By using the Service, you grant Servgrow a worldwide, non-exclusive, royalty-free license to host, display, transmit, and process that content as necessary to provide the Service — for example, to render the public review page, deliver SMS and email, render the embeddable review widget, and (when you opt in) auto-post to a connected social profile.
You represent and warrant that you have all rights necessary to upload, store, and process the customer data you supply, and that the content does not violate any third-party rights or applicable law.
When you connect a third-party service (such as Google Business Profile or Facebook), you authorize Rep360 to call those APIs on your behalf within the scopes you approved on the provider's consent screen. Your use of those third-party services is also governed by the third party's own terms and privacy policies. You can disconnect at any time from Settings → Company (Google) or Settings → Social (Facebook).
If your plan includes paid features, fees, billing frequency, and payment terms will be presented at the point of purchase or upgrade. Unless otherwise stated, fees are billed in advance, are non-refundable except where required by law, and exclude applicable taxes. We may change pricing on a forward-looking basis; we will give Customers at least 30 days' notice before a price change takes effect.
You may cancel your account at any time from within the application or by emailing randy@sodermanmarketing.com. On cancellation we delete account data, customer records, reviews, and connected credentials within 30 days, except where we are legally required to retain it (see our Privacy Policy). We may suspend or terminate accounts that violate these Terms, create undue legal or carrier risk, or remain unpaid past their billing grace period.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE THE DELIVERY OF ANY SPECIFIC SMS OR EMAIL MESSAGE OR THAT ANY THIRD-PARTY PLATFORM WILL ACCEPT, RANK, OR DISPLAY CONTENT WE TRANSMIT ON YOUR BEHALF.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SERVGROW, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless Servgrow LLC, its affiliates, officers, employees, contractors, and licensors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right (including any TCPA, CAN-SPAM, GDPR, or carrier-policy claim brought by an End User or a regulator), or (d) the content you upload or transmit through the Service.
These Terms are governed by the laws of the United States and the state in which Servgrow LLC is organized, without regard to conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in that state for any dispute that cannot be resolved informally.
We may update these Terms from time to time. Material changes will be announced via email or in-app notice before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
